Welcome to Halyard Consulting! These Terms of Service (“Terms”) govern your access to and use of our AI-powered chatbot, voice bot, bundled plans, and related consulting or automation services (collectively, the “Services”). By signing up for, accessing, or using our Services, you agree to these Terms.

1. Definitions
“Services”: All AI chatbot, voice bot, bundled automation solutions, related products, and support provided by Halyard Consulting.
“User,” “you,” or “your”: The individual or entity using the Services.
“Agreement”: These Terms of Service, including any referenced policies (e.g., our Privacy Policy).
2. Acceptance of Terms
By checking the acceptance box or using our Services, you confirm that you are at least 18 years old and legally able to enter into this Agreement. If you are entering into this Agreement on behalf of a business, you represent that you have the authority to bind that entity.
3. Services Provided & AI Disclaimer
Halyard Consulting provides subscription-based and custom enterprise automation solutions. Your access to features depends on your selected plan.
The Services may include artificial intelligence and automated decision-making. You understand and agree that:
- AI outputs may contain errors, omissions, or biases.
- You are solely responsible for reviewing and validating all AI-generated content before using it.
- The Services are not intended for high-risk environments where errors could cause harm or injury.
We may enhance, modify, or discontinue features at any time, with or without notice.
4. Account Responsibilities
You must provide accurate, current, and complete information when creating an account. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity under your account, whether authorized or not.
- Promptly notifying us if you suspect unauthorized access.
5. Acceptable Use
You agree not to:
- Use the Services for unlawful, fraudulent, or harmful activities.
- Send spam or unsolicited commercial messages.
- Upload or transmit malicious code, viruses, or harmful data.
- Infringe on the intellectual property or privacy rights of others.
- Bypass or attempt to bypass any security measures.
- Scrape, harvest, or collect data from the Services without permission.
6. Payment & Billing
Services are billed on a recurring basis (monthly or annually, as applicable). By subscribing, you authorize Halyard Consulting (or our payment processor) to charge your payment method until you cancel.
- Payments are due in full on the billing date.
- If payment is not received within 10 days of the due date, we may suspend or terminate your account.
- Prices may change with at least 30 days’ notice.
7. Cancellations & Refunds
You may cancel anytime via your account dashboard. Cancellations take effect at the end of your current billing cycle.
We do not issue refunds for partial months or unused features unless required by law or stated in a separate signed agreement. Upon cancellation, we will retain your account data for 30 days before permanent deletion.
8. Intellectual Property
All software, designs, workflows, branding, documentation, and other intellectual property provided through the Services remain the exclusive property of Halyard Consulting or our partners.
You may not copy, reverse-engineer, distribute, or create derivative works from any part of the Services without written permission. All trademarks and service marks are owned by Halyard Consulting and may not be used without prior consent.
9. Data & Privacy
You retain ownership of your data. By using the Services, you grant us a license to store, process, and use your data solely to deliver and improve the Services.
We follow applicable data protection laws and will notify you of any data breach affecting your information in accordance with those laws. Please review our Privacy Policy for more details.
10. Service Availability & Support
We aim for 99% uptime, excluding scheduled maintenance and events beyond our reasonable control. Support is available Monday–Friday, 9am–6pm ET, via email or the client portal.
11. Indemnification
You agree to defend, indemnify, and hold harmless Halyard Consulting, its affiliates, and employees from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use or misuse of the Services.
- Violation of these Terms.
- Infringement of any third-party rights.
12. Limitation of Liability
To the fullest extent permitted by law:
- Halyard Consulting is not liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability for all claims is capped at the total amount you paid to us in the 12 months preceding the claim.
13. Termination
We may suspend or terminate your account at any time if we believe you have violated these Terms. Upon termination, your access will be revoked, and your data may be deleted after 30 days.
14. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on our website with a new “Last Updated” date. Continued use of the Services after changes means you accept the new Terms.
15. Governing Law
This Agreement is governed by the laws of the State of New Jersey. Any disputes will be resolved in the state or federal courts of Hudson County, NJ.
